The Nurture Matrix™ Email Messaging Intensive Time Sensitive Savings

MUTUAL AFFILIATE MARKETING RELATIONSHIP TERMS AND CONDITIONS
For the purpose of these Terms and Conditions:
“Affiliate” shall mean the Party receiving the Affiliate Link and/or the Promotional Materials;
“Company” shall mean the Party providing the Affiliate Link and/or Promotional Materials.
A. TERM & TERMINATION
a) The affiliate marketing relationship will commence on the Effective Date identified above and shall continue for one (1) year and may be extended by both parties.
b) The Company may terminate the affiliate marketing relationship in accordance with Clause – Termination above.
c) Additionally, failure to comply with the terms and conditions hereunder will result in immediate termination of the affiliate marketing relationship and forfeiture by the Affiliate of any accrued, unpaid Commission. The Company shall pay any pending Commission owed to the
Affiliate through the termination date, if the affiliate marketing relationship ends for any reason other than a violation of these terms and conditions on the part of the Affiliate.
d) Upon termination by either party, the Affiliate’s limited license to use the Affiliate Link and/or Promotional Materials of the Company for the purpose of promoting the programs, products and/or services, will cease as of the termination date.
B. THE AFFILIATE LINK/PROMOTIONAL MATERIALS
The Company shall make available to the Affiliate the Affiliate Link, certain graphic advertisements, button links, text links, and/or other graphic or textual material for display and use on the Affiliate’s website and in the Affiliate’s e-mail marketing and social media marketing (the “Promotional Materials”). The Affiliate shall display the Promotional Materials on their website, social platforms or email marketing prominently and as the Affiliate sees fit, provided that the manner of display shall be subject to the terms and conditions hereunder. The Affiliate shall also include their unique affiliate link from the Promotional Materials to the Company’s website.
The Affiliate’s use and display of the Promotional Materials shall conform to the following specifications:
a) The Affiliate may not use any graphic, textual or other materials to promote the Company’s website, programs, products or services other than the Promotional Materials provided by the Company, unless approval for such other materials has been sought in writing prior to their display.
b) The Affiliate may only use the Promotional Materials for the purpose of promoting the Company’s website (and the programs, products and services available thereon), and for linking to the Company’s website.
c) The Affiliate will not alter, add to, subtract from, or otherwise modify the Promotional Materials provided by the Company without approval from the Company.
d) The Promotional Materials will be used to link only to the specific web site page specified by the Company.
C. GRANT OF LICENCE FOR USE OF PROMOTIONAL MATERIALS
The Company grants the Affiliate a revocable, non-exclusive, worldwide, royalty-free license to use the Promotional Materials provided by the Company during the term of this Agreement. The Affiliate may display these materials on the Affiliate’s website for the sole purpose of participating in the affiliate marketing relationship. The Affiliate is prohibited from distributing, reproducing, modifying, amending, or creating derivative works of the Promotional Materials. Upon termination by either party, the Affiliate’s limited license to use the Promotional Materials for the purpose of promoting the programs, products and/or services offered through the affiliate marketing relationship, will cease as of the termination date. Upon the termination date, the Affiliate must immediately cease any use of the Promotional Material. The Affiliate is not granted a license to use any of the Company’s intellectual property or proprietary material, other than the Promotional Materials discussed above.
C. COMPENSATION & PAYMENT SCHEDULE
a) The Company agrees to pay the Affiliate a referral fee (“Commission”), for each client of the Company who completes a purchase of any program, product or service using the Affiliate Link assigned to the Affiliate.
b) The Commission paid by the Company will be as follows:
i) $300 USD PER enrollment in the Nurture Matrix™ Email Messaging Intensive
ii) $500 USD PER enrollment in the Nurture Matrix™ Email Messaging Intensive with 1:1 support
c) The Affiliate shall be paid Commission only on sales that are tracked through the Affiliate Link for a period of 6 months
d) The Company agrees to pay the Commission to the Affiliate within 3 months of each successful enrollment.
D. OTHER
The terms and conditions outlined hereunder including commission may be amended in writing by both parties at any time without prior notice.
